Terms of Service

Welcome to 2XFILE. These Terms of Service govern your access to and use of the 2XFILE website, applications, platforms, storage services, file-management services, and any related products or services provided by 2XFILE.

By accessing, registering for, purchasing, or using the Service, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, together with any policies, rules, guidelines, and notices referenced herein. If you do not agree to these Terms, you must not access or use the Service.
1. Eligibility
You must be legally capable of entering into a binding agreement under the laws applicable to you in order to use the Service.

By using 2XFILE, you represent and warrant that:

The information you provide is accurate and not misleading.
You will maintain the accuracy of your account information.
You will comply with all applicable laws and regulations.
You will not use the Service for any unlawful, fraudulent, abusive, harmful, or unauthorized purpose.
You will not use the Service in a manner that could damage, disable, overburden, or impair the Service or interfere with other users.

2XFILE may refuse service, restrict access, or terminate an account where permitted by applicable law.
2. Account Registration and Security
Certain features of 2XFILE may require you to create an account.

You are responsible for:

Maintaining the confidentiality of your login credentials.
Protecting access to your account.
All activities performed through your account, except where caused by a security failure attributable directly to 2XFILE.
Providing accurate and current registration information.

You must immediately notify 2XFILE if you believe that your account, password, authentication credentials, or security tokens have been compromised.

2XFILE will not be responsible for losses resulting from your failure to maintain appropriate account security, except where such responsibility cannot lawfully be excluded.
Use of the Service
You agree to use 2XFILE only for lawful purposes.

You must not use the Service to:

Upload, store, distribute, transmit, publish, or facilitate unlawful content.
Violate copyright, trademark, patent, trade secret, privacy, publicity, or other rights of any person or entity.
Distribute malware, ransomware, viruses, spyware, malicious scripts, or other harmful software.
Conduct fraud, phishing, impersonation, scams, or unauthorized financial activity.
Attempt to gain unauthorized access to the Service, its servers, systems, networks, databases, or other accounts.
Circumvent security controls, rate limits, authentication mechanisms, storage restrictions, or other technical safeguards.
Interfere with or disrupt the operation of the Service.
Use automated systems, bots, crawlers, scrapers, or other automated methods in a manner that violates these Terms or negatively affects the Service.
Use the Service to distribute spam or unsolicited communications.
Use the Service to facilitate illegal activity or activity that presents a significant security, operational, or legal risk to 2XFILE or its users.

2XFILE reserves the right to investigate suspected violations and take any action reasonably necessary to protect the Service, its users, infrastructure, and legal interests.
4. User Content
You retain ownership of files, documents, data, and other content that you upload to or store through 2XFILE, subject to the rights and licenses necessary for 2XFILE to provide the Service.

You are solely responsible for your User Content and for ensuring that you have all necessary rights, permissions, licenses, and legal authority to upload, store, process, share, or otherwise use such content through the Service.

By using the Service, you grant 2XFILE a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, and technically handle User Content solely to the extent reasonably necessary to operate, maintain, secure, improve, and provide the Service.

This license does not transfer ownership of your User Content to 2XFILE.

You represent and warrant that your User Content does not violate applicable law or the rights of any third party.
5. Prohibited Content
2XFILE may prohibit, restrict, remove, disable access to, or otherwise take action concerning content that violates these Terms or applicable law.

OProhibited content may include, without limitation:

Content that is unlawful.
Malware or malicious code.
Content used to facilitate fraud or cyber abuse.
Content that infringes intellectual-property rights.
Content involving exploitation or abuse.
Content that creates an unreasonable security or operational risk.
Content that violates applicable court orders, governmental requirements, or legal obligations.

Nothing in these Terms requires 2XFILE to proactively monitor all User Content.

Where permitted or required by applicable law, 2XFILE may cooperate with lawful requests from governmental authorities, courts, regulators, rights holders, or law-enforcement agencies.
6. File Storage and Availability
2XFILE provides storage and file-management functionality subject to the limits, specifications, technical restrictions, and subscription terms applicable to your account or plan.

Storage capacity, bandwidth, upload limits, download limits, file-size limits, retention periods, and other Service characteristics may vary by plan.

2XFILE does not guarantee that:

The Service will always be available.
Files will always be accessible without interruption.
Your violation of these Terms.
Uploads or downloads will always complete successfully.
Data will never be lost, corrupted, damaged, deleted, or otherwise affected.
The Service will remain unchanged or continue to provide any particular feature.

You are responsible for maintaining independent backups of important or irreplaceable User Content.

The Service should not be treated as your sole backup or archival system.
7. Data Deletion and Account Termination
If an account is deleted, suspended, terminated, expires, or becomes otherwise inactive, User Content may become inaccessible and may subsequently be deleted in accordance with 2XFILE's operational policies, retention practices, applicable plan terms, and legal obligations.

2XFILE is not obligated to retain User Content indefinitely.

Where reasonably practicable, 2XFILE may provide notices concerning account termination or data deletion. However, no such notice is guaranteed unless required by applicable law or expressly promised under a particular Service plan.

You remain responsible for maintaining copies of important User Content.
8. Subscription Plans and Storage Upgrades
Certain features and storage capacities may require payment.

Prices, storage limits, subscription periods, features, and other commercial terms are presented at the time of purchase and may vary according to the selected plan.

A storage upgrade does not transfer ownership of User Content to 2XFILE.

2XFILE reserves the right to modify available plans, pricing, storage limits, features, or commercial terms for future purchases or renewals, subject to applicable law.

Changes will not retroactively alter a completed transaction unless required by law or expressly agreed otherwise.
9. Payments
You agree to provide accurate billing and payment information where required.

By completing a purchase, you authorize the applicable payment processor or authorized payment provider to process the transaction according to the terms presented during checkout.

2XFILE may refuse, cancel, restrict, or review transactions where reasonably necessary to address suspected fraud, abuse, unauthorized activity, payment problems, legal requirements, or security risks.

You are responsible for applicable taxes, fees, and charges associated with your use of paid Services, except taxes imposed directly on 2XFILE's income where applicable.
10. Refunds and Cancellations
Refund eligibility is determined by the applicable purchase terms, refund policy, subscription terms, and mandatory consumer-protection laws.

Except where required by applicable law or expressly stated otherwise, payments for completed purchases are non-refundable.

The purchase or activation of a Service does not guarantee that you will use the full allocated storage capacity or all included features.

Where a refund is legally required, 2XFILE will comply with the applicable legal requirement.
11. Service Modifications
2XFILE may modify, update, suspend, replace, limit, or discontinue any part of the Service at any time where reasonably necessary for operational, technical, security, legal, commercial, or business reasons.

Features may be added, changed, limited, or removed.

2XFILE will not be liable for any modification, suspension, or discontinuation of the Service to the maximum extent permitted by applicable law.

Nothing in this section limits rights that cannot legally be excluded.
12. Security and Abuse Prevention
2XFILE may implement technical and administrative measures designed to protect the Service, infrastructure, accounts, and users.

These measures may include, without limitation:

Authentication and access controls.
Automated abuse detection.
Rate limiting.
Security monitoring.
Fraud prevention.
Malware and threat detection.
Account restrictions.
Temporary or permanent suspension of suspicious activity.
Other reasonable security controls.

Security measures may occasionally result in legitimate activity being delayed, restricted, flagged, or temporarily unavailable.

To the maximum extent permitted by applicable law, 2XFILE is not responsible for losses arising solely from security measures that are reasonably implemented to protect the Service.
13. Intellectual Property
The Service and its components, including software, source code, object code, design, user interface, branding, logos, trademarks, text, graphics, documentation, functionality, and other materials provided by 2XFILE, are owned by or licensed to 2XFILE and are protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms or applicable law, you may not:

Copy or reproduce the Service.
Reverse engineer or attempt to derive source code.
Modify or create derivative works from the Service.
Redistribute or resell the Service without authorization.
Remove proprietary notices.
Use 2XFILE branding without authorization.
Attempt to extract or replicate proprietary functionality.

No ownership rights are transferred to you through your use of the Service.
14. Third-Party Services
The Service may interact with or depend upon third-party services, infrastructure, payment providers, hosting providers, authentication systems, networks, APIs, or other external services.

2XFILE does not control third-party services and is not responsible for their availability, performance, security, policies, or actions, except where responsibility cannot lawfully be excluded.

Your use of third-party services may also be subject to separate terms and policies established by those third parties.
15. Privacy
Your use of 2XFILE may involve the collection, processing, storage, and use of certain information.

Our handling of personal information is described in the applicable Privacy Policy, which forms part of the framework governing your use of the Service.

By using the Service, you acknowledge that you have reviewed the applicable privacy terms.
16. Monitoring and Enforcement
2XFILE is not obligated to continuously monitor all activity or User Content.

However, where permitted by applicable law, 2XFILE may investigate activity that it reasonably believes:

Violates these Terms.
Violates applicable law.
Threatens the security or integrity of the Service.
Creates risk to users or third parties.
Involves fraud, abuse, or unauthorized access.
May expose 2XFILE to legal, financial, technical, or reputational harm.

2XFILE may take appropriate action, including warnings, restrictions, removal of content, suspension, termination, preservation of information where legally appropriate, or cooperation with lawful authorities.
17. Suspension and Termination
2XFILE may suspend or terminate your access to all or part of the Service where reasonably necessary, including where:

You violate these Terms.
Your account presents a security risk.
Your activity involves fraud or abuse.
Your use of the Service creates legal or operational risk.
Payment obligations are not satisfied.
Required by law or lawful governmental authority.
The Service or a particular feature is discontinued.
Continued access would reasonably threaten the Service or other users.

Where permitted by applicable law, 2XFILE may take action without prior notice when immediate action is reasonably necessary to protect the Service, users, infrastructure, or legal interests of 2XFILE.

Termination does not eliminate obligations or rights that by their nature should survive termination.
18. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis.

2XFILE makes no warranties, representations, or guarantees, express or implied, regarding:

Availability or uninterrupted operation.
Accuracy or completeness.
Fitness for a particular purpose.
Merchantability.
Non-infringement.
Reliability.
Security or absence of vulnerabilities.
Permanent availability of stored data.
Compatibility with every device, browser, operating system, or network.
Continued availability of any particular feature.

You acknowledge that no online storage or software service can be guaranteed to operate without failures, interruptions, vulnerabilities, or data-related incidents.

To the maximum extent permitted by law, you assume the risks associated with your use of the Service.
19. Limitation of Liability
To the maximum extent permitted by applicable law, 2XFILE and its owners, operators, affiliates, employees, contractors, service providers, licensors, and representatives shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of:

Profits.
Revenue.
Data.
Use.
Goodwill.
Business opportunities.
Business interruption.
Files.
Expected savings.
Use or availability of the Service.

This limitation applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability, or otherwise, and even if 2XFILE has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the aggregate liability of 2XFILE arising out of or relating to the Service or these Terms shall not exceed the greater of:

1. The amount actually paid by you to 2XFILE for the specific Service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim; or
2. The minimum amount that applicable law requires to remain available as a limitation.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
20. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless 2XFILE and its owners, affiliates, officers, employees, contractors, service providers, and representatives from claims, damages, liabilities, losses, costs, and expenses, including reasonable legal expenses, arising from or related to:

Your violation of these Terms.
Your violation of applicable law.
Your User Content.
Your infringement or violation of third-party rights.
Your misuse of the Service.
Unauthorized activity conducted through your account resulting from your failure to maintain account security.

This obligation does not apply to the extent that a claim is caused by the gross negligence or intentional misconduct of 2XFILE where such exclusion is prohibited by applicable law.
21. Force Majeure
2XFILE shall not be responsible for delay, interruption, failure, or unavailability caused by circumstances beyond its reasonable control, including but not limited to:

Natural disasters.
War.
Terrorism.
Government action.
Internet or telecommunications failures.
Power failures.
Cyberattacks.
Widespread security incidents.
Hardware or infrastructure failures.
Cloud or hosting-provider failures.
Epidemics or pandemics.
Other events beyond the reasonable control of 2XFILE.
22. Changes to These Terms
2XFILE may update these Terms from time to time.

When material changes are made, 2XFILE may provide notice through the Service, website, account interface, email, or other reasonable means where appropriate.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.

If you do not agree with updated Terms, you must discontinue use of the Service.
23. No Waiver
Failure by 2XFILE to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision in the future.

Any waiver must be made in accordance with applicable law.
24. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.
25. Assignment
You may not assign, transfer, delegate, or otherwise dispose of your rights or obligations under these Terms without the prior written consent of 2XFILE, except where such restriction is prohibited by applicable law.

2XFILE may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate restructuring, sale of assets, financing, or other business transaction, subject to applicable law.
26. Entire Agreement
These Terms, together with any policies or agreements expressly incorporated by reference, constitute the entire agreement between you and 2XFILE regarding the Service and supersede prior agreements or understandings concerning the same subject matter, except where otherwise required by applicable law.
27. Governing Law and Dispute Resolution
These Terms shall be governed by the laws applicable to 2XFILE and the jurisdiction in which 2XFILE is legally established, unless applicable mandatory law requires otherwise.

Any dispute arising out of or relating to these Terms or the Service shall be resolved in accordance with the applicable jurisdiction and dispute-resolution procedures governing 2XFILE.

Nothing in this section limits any mandatory rights or remedies that you may have under applicable consumer-protection laws.
28. Electronic Communications
By using the Service, you consent to receiving electronic communications from 2XFILE concerning your account, transactions, security, Service updates, legal notices, and other matters relating to the Service.

Electronic communications may be provided through email, the website, account notifications, or other electronic methods.

Where permitted by law, you agree that electronic notices satisfy legal requirements for written communication.
29. Survival
Any provision that by its nature should survive termination shall survive termination or expiration of these Terms, including provisions relating to intellectual property, User Content, disclaimers, limitations of liability, indemnification, dispute resolution, and applicable legal obligations.

31. Acceptance

If you do not agree to these Terms, you must immediately stop using the Service.
2XFILE reserves all rights not expressly granted under these Terms.
